By using the services of WoolworthsAssist.com (“Agency,” “we,” “us,” or “our”), you (“Client”) agree to these Terms of Service, creating a legally binding agreement. If you do not accept these terms, please refrain from using our services.
2. Scope of Services
WoolworthsAssist.com provides digital marketing, business consulting, design, development, and related services as outlined in your specific project proposal or service agreement. Any work beyond the agreed scope requires advance approval and may incur additional charges.
3. Agency Responsibilities
- Deliver all services with due skill, care, and adherence to industry best practices.
- Provide timely updates and performance reports according to the agreed schedule.
- Maintain the confidentiality of all client data and sensitive information.
- Seek client approval for all major deliverables and campaign launches.
4. Client Responsibilities
- Supply all necessary materials, information, and access in a timely manner to enable service delivery.
- Review and approve creatives, content, and campaigns quickly.
- Ensure all provided content and materials are lawful, accurate, and do not violate third-party rights.
5. Fees and Payment Terms
- Fees, billing schedules, and costs are detailed in your project proposal or invoice.
- Payments must follow the agreed schedule. Overdue payments may result in service suspension or termination.
- Refunds, if applicable, are subject to the work completed and as per the agreed terms.
6. Intellectual Property
- Upon complete payment, the client owns the final deliverables.
- WoolworthsAssist.com may showcase completed work in its portfolio unless otherwise agreed in writing.
- Any pre-existing intellectual property remains with the original owner.
7. Confidentiality
Both parties must keep all confidential information strictly protected and not disclose it to third parties without prior written consent, except where required by law.
8. Data Protection & Privacy
WoolworthsAssist.com complies with all applicable data protection laws. Client data is kept secure and used solely for service delivery. Both parties commit to adhering to relevant privacy regulations.
9. Performance Reporting
- Performance metrics and reports will be provided as outlined in the agreed service scope.
- KPIs and performance targets will be specified in the project brief or proposal.
10. Term and Termination
- These terms remain effective for the project duration as outlined in the proposal or until terminated by either party with written notice.
- Either party may terminate the agreement for material breach, insolvency, or by mutual agreement.
- On termination, any outstanding fees for completed work remain payable. Unused advance payments may be refunded as per the agreement.
11. Warranties and Limitation of Liability
- Services are provided “as is” and no specific results are guaranteed unless expressly stated.
- Liability is limited to the total amount paid by the client in the preceding three months for services.
- WoolworthsAssist.com is not responsible for indirect, incidental, or consequential damages.
12. Indemnification
The client agrees to indemnify and hold WoolworthsAssist.com harmless from claims, losses, or damages resulting from the client’s breach of these terms or misuse of the services.
13. General Terms
- These terms are governed by the laws of India.
- Any disputes will be resolved through negotiation or, if required, arbitration in India.
- These terms represent the entire agreement between the client and agency and override any previous agreements.
- Amendments must be in writing and signed by both parties.
